Welcome to Wayfinder. These Terms of Service ("Terms") govern your use of the Wayfinder platform (the "Service"), operated by Virtuous Capital Foundation, a 501(c)(3) nonprofit organization. By accessing and using Wayfinder, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our platform.

1. Acceptance of Terms

By creating an account and using Wayfinder, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, including any policies referenced herein. If you are using Wayfinder on behalf of a minor under 13, you represent that you have parental consent and authority to agree to these Terms on their behalf.

These Terms apply to all users of Wayfinder, including those who visit our website but do not create an account. Your access to and use of Wayfinder is conditioned upon your acceptance of these Terms.

2. Description of Service

What Wayfinder Is

Wayfinder is an AI-powered career advisor platform designed to provide personalized career guidance, educational planning advice, and career exploration resources to students and career changers ages 13 and older. The service leverages Claude AI, developed by Anthropic, to deliver conversational career guidance.

Wayfinder provides the following services:

• Personalized career assessments and recommendations
• AI-powered conversational career guidance
• Educational pathway planning
• Career research and exploration tools
• Goal-setting and progress tracking features

Information Accuracy

While we strive to provide accurate and current information, career landscapes, educational programs, and industry requirements change constantly. Information provided through Wayfinder may not always be completely accurate, up-to-date, or applicable to your specific circumstances. You are responsible for verifying any important information with authoritative sources and qualified professionals before acting upon it.

3. Account Registration

Eligibility and Age Requirements

To use Wayfinder, you must be at least 13 years old. By creating an account, you confirm that:

• You are at least 13 years of age
• You have the legal authority to enter into these Terms
• If you are under 18, you have parental or guardian consent to use Wayfinder
• You are not legally prohibited from using online services in your jurisdiction

Account Information

When you create an account, you agree to:

• Provide accurate, current, and complete information
• Update your information promptly if any details change
• Choose a secure password and not share it with others
• Not use offensive, threatening, or false information in your profile

Account Security

You are responsible for maintaining the confidentiality of your account login credentials and password. You are fully responsible for all activities that occur under your account. You must immediately notify Wayfinder of any unauthorized access or security breach. Wayfinder is not liable for any losses resulting from unauthorized use of your account.

Account Termination

You may delete your account at any time through your account settings. When you delete your account, you will lose access to all conversations, saved recommendations, and data associated with your account.

4. Acceptable Use

Prohibited Conduct

You agree not to use Wayfinder in any manner that:

• Illegal Activities: Violates any law, regulation, or third-party rights, including intellectual property rights
• Harmful Content: Contains threats, harassment, violence, hate speech, or discriminatory language toward individuals or groups
• Abuse: Harasses, bullies, intimidates, or otherwise abuses other users or Wayfinder staff
• Spam and Manipulation: Sends spam, scams, phishing attempts, or uses the service for unsolicited advertising
• Unauthorized Access: Attempts to gain unauthorized access to Wayfinder's systems, data, or accounts
• Reverse Engineering: Attempts to reverse engineer, decompile, or discover the underlying code or algorithms of Wayfinder
• Scraping and Bots: Uses automated tools, bots, scraping software, or other mechanisms to access or extract data from Wayfinder without permission
• Impersonation: Impersonates another person or entity, including Virtuous Capital Foundation staff or career professionals
• Misinformation: Intentionally spreads false or misleading information through the platform
• Copyright Violation: Uploads, shares, or distributes copyrighted content without proper authorization

Monitoring and Enforcement

Wayfinder reserves the right to monitor user activity for compliance with these Terms. We may remove content, suspend accounts, or terminate access to users who violate these Terms. We are not obligated to notify you before taking such action, though we will attempt to do so when feasible.

5. Subscription Plans & Payments

Available Plans

Wayfinder offers the following subscription tiers:

• Free Plan: $0/month - Access to basic career guidance features with limitations on conversation length and frequency
• Premium Plan: $10/month - Enhanced features including extended conversations and priority response times
• Pro Plan: $20/month - Full access to all features including advanced career assessments and unlimited conversations

Payment Processing

All payments are processed securely by Stripe, our third-party payment processor. By providing payment information, you authorize Stripe to charge your payment method according to the plan you select. Your credit card information is not stored on Wayfinder's servers; payment processing is handled entirely by Stripe's secure systems.

Billing and Auto-Renewal

Paid subscriptions are billed on a monthly basis:

• Your subscription will automatically renew each month on the anniversary of your purchase date
• You will be charged the current subscription price at the time of renewal
• Wayfinder reserves the right to change subscription prices with 30 days' notice
• You will receive a billing confirmation email after each charge

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing cycle. You will retain access to premium features through the end of your paid period; no refunds will be issued for the remainder of your current month.

Refund Policy

Failed Payments

If a payment fails, Wayfinder will attempt to retry billing using the payment method on file. If payment ultimately fails, your account may be downgraded to the Free plan or suspended until payment is received. Repeated failed payments may result in account termination.

6. Intellectual Property

Wayfinder's Intellectual Property

Wayfinder, including all content, code, features, and design, is owned by Virtuous Capital Foundation or its licensors. You are granted a limited, non-exclusive, non-transferable license to access and use Wayfinder for personal, non-commercial purposes in accordance with these Terms. You do not own or have any right to the Wayfinder platform or its underlying technology.

User Content License

Any content you create, upload, or provide to Wayfinder (including conversations, questions, profiles, and recommendations) remains your property. However, by submitting content to Wayfinder, you grant Wayfinder a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and distribute your content as necessary to provide and improve the Service. This includes using your conversation data to train and improve our AI models.

Restrictions on Use

You may not:

• Copy, modify, or create derivative works of Wayfinder
• Reverse engineer or attempt to discover the underlying code or algorithms
• Remove or alter any copyright, trademark, or proprietary notices
• Use Wayfinder for any commercial purpose without written permission
• Sublicense or sell access to Wayfinder to third parties

Third-Party Content

Wayfinder may contain links to or references to third-party websites, content, and services. Wayfinder is not responsible for the accuracy, legality, or content of third-party materials. Your use of third-party sites is governed by their own terms and policies.

7. AI Disclaimer

AI-Generated Content

Wayfinder's guidance is generated by Claude AI, an artificial intelligence system developed by Anthropic. While Claude is a sophisticated language model, it is not a human career counselor. AI-generated content should be understood as:

• Informational and educational in nature
• Based on patterns in training data, not professional expertise
• Subject to errors, hallucinations, and inaccuracies
• Not personalized to your specific circumstances, needs, or goals
• Not a substitute for professional human judgment and expertise

Limitations of AI Career Guidance

You acknowledge and understand that:

• Not a Substitute for Professional Counseling: Wayfinder is not a substitute for consulting with certified career counselors, academic advisors, financial advisors, or mental health professionals. Important decisions about your education, career, and finances should only be made after consulting qualified human professionals.
• Accuracy Not Guaranteed: AI-generated information may contain errors, outdated information, biases, or inappropriate suggestions. Information about specific careers, educational programs, and industry requirements may be inaccurate or no longer current.
• Individual Circumstances: The AI cannot fully understand your unique situation, constraints, abilities, values, or priorities. What works for one person may not work for you.
• No Accountability: The AI has no accountability for the consequences of its advice. Only human professionals bear responsibility for the advice they provide.

8. Limitation of Liability

Limitation of Damages

UNDER NO CIRCUMSTANCES SHALL VIRTUOUS CAPITAL FOUNDATION, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF WAYFINDER, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, DATA, OPPORTUNITY, OR GOODWILL, EVEN IF WAYFINDER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Cap on Liability

TO THE EXTENT PERMITTED BY LAW, VIRTUOUS CAPITAL FOUNDATION'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR A WAYFINDER SUBSCRIPTION IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS LESS. FOR USERS OF THE FREE PLAN, LIABILITY IS LIMITED TO $50.

Assumption of Risk

You acknowledge that your use of Wayfinder is at your own risk. You assume all risk and responsibility for any decisions made based on information provided by Wayfinder. Wayfinder is not responsible for any consequences of your reliance on AI-generated guidance.

No Guarantee of Accuracy

Wayfinder does not guarantee the accuracy, completeness, timeliness, or appropriateness of any information provided. You use Wayfinder with the understanding that important decisions should only be made after consulting qualified professionals.

9. Privacy

Your use of Wayfinder is also governed by our Privacy Policy, which is incorporated by reference into these Terms. Please review our Privacy Policy at /privacy to understand our practices regarding the collection, use, and protection of your personal information.

By using Wayfinder, you acknowledge that your conversations and profile information will be processed by Anthropic (Claude AI's developer) as part of the AI processing. You understand and consent to this data sharing, as described in our Privacy Policy.

10. Termination

Termination by You

You may terminate your account at any time by logging into your account and selecting "Delete Account." When you delete your account:

• You will immediately lose access to Wayfinder
• Your account data will be marked for deletion
• Complete deletion of your data will occur within 30 days
• No refunds will be issued for any remaining subscription period

Termination by Wayfinder

Wayfinder may terminate or suspend your account immediately and without notice if:

• You violate these Terms of Service
• You engage in illegal activity or activity that threatens the security of Wayfinder
• You abuse the service or other users
• You fail to pay subscription charges and do not resolve the issue after notice
• We determine in our sole discretion that continuing your account is inappropriate

Effect of Termination

Upon termination by Wayfinder or you:

• Your right to use Wayfinder immediately ceases
• We may delete your account and all associated data
• No refunds will be issued
• You remain liable for any unpaid charges

Data After Termination

After your account is terminated, we will delete your personal data according to our Privacy Policy. However, we may retain anonymized or aggregated data for research and improvement purposes.

11. Changes to Terms

Right to Modify

Wayfinder reserves the right to modify these Terms at any time. Changes will be effective 30 days after they are posted to the Wayfinder website. For material changes, we will attempt to notify you via email to your registered email address.

Your Continued Use

Your continued use of Wayfinder after changes become effective constitutes your acceptance of the updated Terms. If you do not agree with any changes, your only recourse is to discontinue use of Wayfinder and delete your account.

Updates and Notifications

Wayfinder may update these Terms to reflect:

• Changes in our services or business practices
• New features or functionality
• Legal or regulatory requirements
• Industry best practices and standards

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. You agree that any legal action or proceeding arising under these Terms shall be exclusively subject to the jurisdiction of the state and federal courts located in California.

However, you may also bring claims in any court of competent jurisdiction if you are seeking to restrain unauthorized access to or use of Wayfinder.
